Version 2026-10-23

1. The agreement and the service

1.1 Divivity Soundscape delivers streaming background music over the web. The service is operated by Divivity.

1.2 The service is for businesses and other organisations that use the music in their business, not for consumers. By creating an account you confirm that you do so for your business and are entitled to enter into the agreement for it.

1.3 The agreement is formed when you create an account and accept these terms, and lasts until it is terminated. Your acceptance is saved with date and version.

2. Account and sign-in

2.1 You create an account with an email address and a password, and you are responsible for keeping your details secret and for everything that happens through the account.

2.2 One account can be signed in on one device at a time. If you need music in several places you need one account per location. The account must not be shared with other businesses.

2.3 If you suspect unauthorised use, change your password and contact us.

3. Right to play the music

3.1 For as long as the agreement is in force and the fee is paid, you receive a limited, non-exclusive, non-transferable right to stream and play the music in the service as background music in your business, at the location the account relates to. The right requires an active subscription with us. If the subscription ends, or payment fails, the right to listen ends, and the music may no longer be played after that.

3.2 You do not own the music. All music, recordings, images, texts and software in the service belong to us or our licensors. What you pay is a fee for being able to listen, not a purchase of music.

3.3 You may not record, download, copy, adapt, sell, rent out, sublicense or redistribute the music or the stream, broadcast it to the public outside your business (for example on radio, online or on social media), use it to train or develop AI systems, use it in film, advertising or other material, or try to circumvent the limits of the service.

3.4 We may remove or replace channels and tracks at any time, for example if a right expires.

3.5 The right applies to one business premises at one address and one zone per account. A zone is an independent stream, that is, playback with its own choice of music. The same stream may be played in several rooms of the same premises. If you want to play different music at the same time in different rooms (several zones), or in another premises, you need one account and one subscription for each zone and premises. The right applies to premises in Sweden. If you want to play the music in another country, you first need our written approval. If the music is played anywhere else, it is not covered by the right in section 3 or by sections 4 and 5.

4. Certificate of rights

4.1 We certify that the music in the service is licence-free. We hold, ourselves or through our licensors, the right to provide it for playback as background music in your business. The music is royalty-free: for playback of the music in the service you do not need to pay royalties, compensation or other fees to artists, composers or other rights holders, nor to any collecting society or performing rights organisation. You pay only the fee for the service.

4.2 The certificate applies to music played through the service at the location the account relates to, during the term of the agreement. It does not cover other music played in your business, for example radio, TV, your own playlists or live performances, and it does not apply if the music is used in breach of section 3.

4.3 The certificate is our own assurance and not an approval from any collecting society or authority, and it does not bind them. You may show this section as a certificate to a collecting society.

4.4 You are responsible for other music played in your business, and for keeping any agreements of your own with collecting societies for that music. They do not end because you use our service. On request you must be able to state that the music in your business comes from the service. If we ask you in writing to stop playing certain music because of a rights issue, you must do so.

5. Compensation if someone demands payment

5.1 If anyone nevertheless demands compensation for the music in the service, you must notify us promptly and not admit or pay the claim yourself.

5.2 We will handle the claim and reimburse fees and damages you are forced to pay for playback of the music in the service in accordance with these terms, up to the limit stated in section 8.1.

5.3 The compensation does not cover the costs of your own legal representatives, advisers or experts, court costs, the opposing party’s costs or other handling costs, unless we have agreed to this in writing, nor fines, sanctions or taxes, indirect or consequential loss, or claims relating to other music or use in breach of these terms.

5.4 The undertaking is a contractual undertaking and not insurance. It also applies after the agreement has ended, for playback that took place during the term of the agreement.

6. Price and payment

6.1 The service costs 15.20 EUR per month or 152 EUR per year excluding VAT, that is 19 EUR per month or 190 EUR per year including 25% VAT. The amount charged is the price including VAT, and the VAT is shown separately on the receipt. The subscription renews automatically every month or year until you cancel it. Payments are handled by Stripe.

6.2 We may change the price. A change is announced at least 30 days in advance and applies to existing customers from the first renewal after the date we state. You can cancel the subscription before then.

6.3 A paid period is not refunded if you cancel early, unless mandatory law requires otherwise.

6.4 If payment fails we may suspend the account until payment has been made.

7. Availability and technology

7.1 We aim for the service to run without interruption but cannot guarantee it. Maintenance, outages and failures at internet providers, Stripe or other subcontractors may occur. The service is provided as is and no particular uptime is guaranteed.

7.2 You are responsible for your own equipment, internet connection and sound system, and for making sure playback in your premises complies with the laws and rules that apply to your business, for example sound levels.

8. Limitation of liability

8.1 Our liability to you is limited to direct damages and to no more than the amount you paid for the service in the last twelve months. The same limit applies to compensation under section 5.

8.2 We are not liable for indirect or consequential loss, for example lost sales, lost profit, lost customers or damage to goodwill.

8.3 We are not liable for interruptions, delays or faults caused by something outside our reasonable control, such as power cuts, failures of the internet, a cloud provider or a payment service, or decisions by authorities.

8.4 The limitations do not apply to intent or gross negligence, or where the law does not allow limitation.

9. Termination and suspension

9.1 You can cancel the service at any time, for example under Manage subscription. The cancellation takes effect at the end of the period, and you can listen until then.

9.2 We may terminate the agreement with at least 30 days' notice, sent to the email address of the account. The termination takes effect at the earliest at the end of the period you have already paid for.

9.3 We may suspend an account, in whole or in part and without notice, if you breach these terms, for example through unauthorised copying or redistribution, if the account is shared between locations, if payment fails or if it is necessary because of a rights issue.

9.4 When the agreement ends, the right to play the music ends. We delete the account data according to our privacy policy. Sections 3.2, 3.3, 4, 5 and 8 also apply after that.

10. Changes and changed rules

10.1 We may change the service and these terms. Material changes will be announced at least 30 days in advance, and you may then cancel before they take effect. If you keep using the service after the date we state, the new terms apply.

10.2 If laws, the rules of collecting societies or decisions by authorities change so that the music, the certificate or the use no longer works as described, we may change the service, the channels and these terms to the extent needed, with as much notice as possible. Either party may then terminate the agreement. Compensation under section 5 still applies to playback that took place before the change.

11. Governing law and disputes

11.1 These terms are governed by Swedish law.

11.2 Disputes shall first be resolved through dialogue between the parties. If they cannot be resolved, they are decided by a Swedish general court, with the Stockholm District Court as the first instance where the law allows.
